Factor Suite Backtest Agreement

This Backtest Agreement (“Agreement”) is entered into by and between the client (“Client”) and Gradient Analytics, Inc (“Gradient”). Gradient hereby agrees to provide Client with backtesting data (“Backtesting Data”) from the Gradient Factor Suite, including data received via a Gradient email, website or ftp site, and Client accepts these data under the following conditions:

Client will not re-distribute, share or reproduce the Backtesting Data for or with any third-party without the express written consent of Gradient. If Client chooses not to subscribe to the Gradient product(s) within 120 days of receipt of the Backtesting Data, then Client will destroy all copies of the Backtesting Data from all media (such as computer hard drives, backup tapes, CDs) as well as the original copy of the Backtesting Data that was received from Gradient.

Confidentiality

Client understands that redistribution or republication of the Backtesting Data could cause damage to Gradient’s ability to independently conduct its business and could jeopardize its ability to independently market its products and services.

In completing their backtest or analysis of the factor suite data, it is expected that the Client will discuss their results with Gradient. Gradient will keep all Client results and Client information pertaining to the backtest or analysis performed by Client strictly confidential. Gradient will only share this information with third parties if express written consent is provided by Client.

No Warranties for Fitness of Use

Client further understands that Gradient offers the Backtesting Data without any warranties of any kind.

Timeframe

Client agrees to conduct backtesting in a timely manner, and provide feedback to Gradient within 4 to 6 weeks of initial receipt of the data.
